Terms of Service

1. Definitions

The following definitions apply throughout these Terms:

"Service"
— Reapit Compliance Tracker, a SaaS application for property compliance monitoring.
"Customer" / "You"
— the letting agency or organisation subscribing to the Service.
"Customer Data"
— property addresses, tenancy dates, landlord names, certificate data, and other information synced from Reapit on the Customer's behalf.
"Provider" / "We"
— Bilans Solutions PDOO, a company registered in North Macedonia.
"Reapit API"
— the Reapit Foundations Platform API used to integrate with AgencyCloud.
"Paddle"
— our payment processor acting as Merchant of Record for all transactions.

2. License Grant & Restrictions

Subject to these Terms, we grant you a non-exclusive, non-transferable licence to access and use the Service during your active subscription period, solely for your internal business purposes of compliance monitoring.

You agree NOT to:

  • Resell, sublicence, or redistribute the Service or any part of it
  • Reverse engineer, decompile, or disassemble the Service
  • Scrape, harvest, or programmatically extract data from the Service beyond its intended interface
  • Circumvent or disable any security features, access controls, or usage limits

3. Data Ownership

  • Customer Data: You retain full ownership of all Customer Data imported into the Service. We claim no ownership rights over your data.
  • Service IP: Bilans Solutions owns the Service, including all algorithms, compliance scoring logic, user interface designs, and underlying technology.
  • Reapit Data: Data originating from Reapit is additionally governed by Reapit's own terms of service and data policies.
  • Aggregated Data: We may use aggregated, anonymised data (from which no individual customer can be identified) for product improvement, benchmarking, and analytics.

4. Third-Party Application Disclaimer

Important Notice — Required by Reapit

The Reapit Compliance Tracker is developed and operated by Bilans Solutions PDOO. It is NOT developed, maintained, or endorsed by Reapit Ltd. Reapit bears no responsibility or liability for this application, its functionality, availability, or the accuracy of any data or outputs it produces. Use of this application is subject to these Terms and is at the Customer's own risk.

5. Acceptable Use Policy

When using the Service, you agree that you will not:

  • Use the Service for any illegal activity or purpose
  • Attempt to gain unauthorised access to other customers' data, accounts, or systems
  • Conduct security attacks, including denial-of-service attacks, vulnerability scanning, or penetration testing without prior written consent
  • Violate UK GDPR, the Data Protection Act 2018, or applicable housing regulations

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

6. Payment & Billing

  • All payments are processed by Paddle, which acts as our Merchant of Record. Paddle handles VAT calculation, invoicing, and receipts.
  • Billing is monthly in GBP (£).
  • In the event of payment failure, you will have a 30-day grace period to resolve the issue. After 30 days, your account will be suspended until payment is received.

7. Refund Policy (Summary)

New customers are eligible for a 30-day money-back guarantee. If you are not satisfied with the Service within the first 30 calendar days of your initial subscription, you may request a full refund.

8. Service Level Agreement

We target 99.5% monthly uptime for the Service, measured as the percentage of minutes in a calendar month during which the Service is available and functional.

Exclusions:

  • Scheduled maintenance windows (with at least 48 hours advance notice)
  • Reapit API outages or degraded performance outside our control
  • Customer-side issues (network connectivity, browser compatibility, Reapit subscription lapses)

Remedy: If uptime falls below 99.5% in any calendar month, affected customers are eligible for a pro-rata service credit applied to the following month's invoice.

9. Reapit API Integration

The Service depends on access to the Reapit Foundations API to sync property, tenancy, and compliance data. By using the Service, you acknowledge and agree that:

  • We are not liable for Reapit API outages, changes to API functionality, or inaccuracies in data returned by the Reapit API.
  • You must maintain a valid Reapit AgencyCloud subscription for the Service to function correctly.
  • If Reapit revokes or restricts API access for any reason, affected functionality may become unavailable, and we shall not be liable for any resulting disruption.

10. Security & Data Protection

We implement the following security measures to protect your data:

  • Encryption in transit using TLS 1.2 or higher for all communications
  • Encryption at rest using AES-256 for all stored data
  • Data residency: data stored in the EU (Supabase) and UK (Fly.io, London)
  • Role-based access controls ensuring users only see data relevant to their agency
  • Audit logging of all data access and administrative actions
  • Breach notification within 72 hours to the relevant supervisory authority and affected customers, as required by UK GDPR

11. Data Processing Roles

  • Data Controller: The Customer is the Data Controller. You determine what data to import, how long to retain it, and who within your organisation may access it.
  • Data Processor: Bilans Solutions acts as Data Processor, processing Customer Data solely on your instructions and in accordance with these Terms.
  • No Tenant Personal Data: We do NOT collect tenant personal data. No tenant names, email addresses, or phone numbers are stored in the Service.

12. Termination

  • By either party: Either party may terminate the subscription with 30 days' written notice to the other party.
  • Data export: You may export all Customer Data during the 30-day period following termination.
  • Data deletion: At the end of this 30-day period, all Customer Data will be securely and permanently deleted, in accordance with Reapit developer requirements.
  • Immediate termination: Either party may terminate immediately for material breach, provided the breaching party is given a 14-day cure period and fails to remedy the breach.
  • AppMarket uninstall: If the agency uninstalls the application from the Reapit AppMarket, all associated Customer Data will be deleted within 30 days.

13. Limitation of Liability

To the maximum extent permitted by law, Bilans Solutions' total aggregate liability under or in connection with these Terms shall not exceed the total fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

Exclusions from the cap:

  • Liability arising from data protection breaches caused by our negligence
  • Gross negligence or wilful misconduct
  • Intellectual property indemnification obligations

Neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity, regardless of the cause of action.

14. Warranties & Disclaimers

We warrant that the Service will be performed professionally and competently, using reasonable care and skill.

However, we expressly disclaim the following:

  • We do NOT warrant the accuracy, completeness, or timeliness of data returned by the Reapit API.
  • We do NOT guarantee that compliance scores are legally correct or constitute legal advice. The Customer must independently verify compliance status and seek professional legal counsel where necessary.
  • Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England.
